Acceptance of Terms

This Terms of Service Agreement (the “TOS”) constitutes a legally binding agreement between you (“User,” “Member,” “Parent,” “Guardian,” or “Student,” as applicable) and 7EDU IMPACT ACADEMY INC, also known as 7EDU, located at 10050 Bubb Rd Ste 2, Cupertino, California 95014, including its subsidiaries and affiliates (collectively, “7EDU,” “Company,” “we,” “us,” or “our”).

This TOS governs your access to and use of:

• The 7EDU website, including www.7edu.org
• Any online student or parent portal
• AI-enabled educational tools and interactive features
• Mobile applications
• Digital learning platforms
• All traditional educational services, tutoring services, academic programs, curriculum, content, and related offerings (collectively, the “Services”)

Binding Agreement

By accessing or using the Services in any manner, including but not limited to browsing the Site, creating an account, clicking “I Agree,” checking a consent box, registering a student, submitting information, interacting with AI tools, or continuing to use the Services after updates are posted, you affirm that you are legally competent to enter into this Agreement and agree to be bound by it.

If you are a parent or legal guardian creating or managing an account on behalf of a minor, you represent and warrant that you have the authority to bind the minor to this TOS and you agree to be fully responsible for the minor's compliance with these Terms.

Electronic Acceptance

You acknowledge and agree that your electronic actions—including but not limited to clicking to accept, checking a box, completing registration, accessing a student dashboard, interacting with AI-powered systems, or continuing to use the Services after being notified of changes—constitute your electronic signature and manifest your intent to be legally bound by this TOS.

Description of Services

7EDU IMPACT ACADEMY INC is an educational services company whose mission is to provide high-quality educational programs and academic support services to students worldwide. Our Services are designed to support academic achievement, improve student performance, enhance standardized test preparation outcomes, provide college admissions guidance, and assist students in reaching their educational and career goals.

7EDU provides a range of traditional and technology-enhanced educational services, including but not limited to tutoring, academic instruction, course planning, standardized test preparation, academic skills coaching, college application support, essay review and feedback, admissions strategy guidance, extracurricular planning, interview preparation, portfolio development support, college counseling services, parent consultations, workshops, seminars, digital curriculum access, performance tracking, analytics-based progress monitoring, and related advisory services.

The Services may include, without limitation:

• Student and parent login portals
• AI-powered tutoring assistance and interactive learning tools
• Academic progress tracking and performance analytics
• College application planning tools and admissions support resources
• Essay drafting assistance and feedback tools
• Messaging and communication features
• Downloadable content and digital curriculum
• Mobile applications
• Live or recorded tutoring and counseling sessions
• Any related educational programs, advisory services, content, materials, or features offered now or in the future

Any and all visitors to our Site or users of our platform, whether registered or not, shall be deemed “Users” for purposes of this TOS. Once an individual registers for our Services through the creation of an account, such individual shall be considered a “Member.”

At its sole discretion, 7EDU IMPACT ACADEMY INC may offer additional Services and/or products, implement AI enhancements, update platform functionality, modify existing features, expand counseling offerings, or discontinue any part of the Services at any time.

Educational Outcomes and Disclaimer

7EDU IMPACT ACADEMY INC provides college counseling, application guidance, essay feedback, strategic planning, and related advisory services for informational and educational purposes only. While we strive to provide high-quality support and guidance, 7EDU makes no representations, warranties, or guarantees of acceptance, admission, waitlist placement, scholarship awards, financial aid determinations, or any other decision made by any college, university, educational institution, scholarship committee, or third-party organization.

All admissions and scholarship decisions are made solely by the respective institutions or organizations and are outside the control of 7EDU. Past student outcomes do not guarantee future results.

7EDU provides tutoring, academic instruction, standardized test preparation, AI-assisted learning tools, practice materials, and related services designed to support academic performance. However, 7EDU does not guarantee any specific test score improvement, grade increase, academic ranking, examination result, certification outcome, or academic achievement.

Independent Decision Responsibility and Academic Integrity

All educational, academic, testing, and admissions decisions are made solely by the student and/or parent or legal guardian. Any information, suggestions, AI-generated outputs, strategy recommendations, essay edits, tutoring assistance, or counseling advice provided through the Services are intended for guidance only and shall not be relied upon as the sole basis for decision-making.

Educational institutions, colleges, testing agencies, and scholarship organizations maintain their own academic integrity policies, honor codes, and rules governing the use of artificial intelligence, tutoring support, editing assistance, and third-party services. The User and/or Member is solely responsible for ensuring that any use of the Services complies with the policies and requirements of the relevant institution.

• You are solely responsible for reviewing, verifying, and evaluating all advice, recommendations, and AI-generated content before acting upon or submitting it
• You assume full responsibility for all academic submissions and decisions
• You are responsible for compliance with institutional academic honesty policies, including any required disclosures regarding AI assistance

7EDU shall not be liable for any admissions denial, scholarship denial, academic penalty, honor code violation, disciplinary action, institutional decision, or other consequence resulting from your use of or reliance upon the Services.

Registration

It is the priority of 7EDU IMPACT ACADEMY INC to ensure the safety, security, and privacy of all visitors, Users, and Members, particularly minors. Access to certain features of the Services, including the student and parent platform, requires account registration.

Children Under the Age of 13

In compliance with the Children's Online Privacy Protection Act (“COPPA”) and other applicable laws, children under the age of 13 may not create an account independently. A parent or legal guardian must provide verifiable consent prior to the collection, use, or disclosure of personal information from a child under 13.

By permitting a child under the age of 13 to access the Services, the parent or legal guardian represents and warrants that:

• They are the child's legal parent or guardian
• They have reviewed and agree to this TOS and the Privacy Policy on behalf of the child
• They consent to the collection, use, storage, and processing of the child's information as described herein
• They accept full responsibility for the child's use of the Services, including all interactions within the platform, communications, and AI-enabled features

Parental Supervision and Responsibility

Parents and legal guardians are responsible for monitoring their child's use of the Services, including but not limited to participation in message boards, email communications, instant messaging, AI-powered tools, college counseling features, and any other interactive components of the platform.

Platform Access and AI Interactions

By registering for an account, Users and Members acknowledge that portions of the Services may include AI-enabled educational tools that generate automated responses, suggestions, or content based on user inputs. Parents of minor users acknowledge that such AI interactions may form part of the educational experience and agree to supervise and review such interactions as they deem appropriate.

7EDU IMPACT ACADEMY INC reserves the right to request additional verification of parental consent, suspend accounts that do not comply with age requirements, and restrict or terminate access where necessary to protect minors or ensure compliance with applicable law.

Member Account

In order to access certain features of the Services, Users may be required to register for an account. By creating an account, you represent and warrant that all information provided during registration is accurate, current, complete, and not misleading. You agree to promptly update such information as necessary to maintain its accuracy.

One Account Per User

Each User or Member is permitted to maintain only one active account unless expressly authorized in writing by 7EDU IMPACT ACADEMY INC. Accounts are personal to the registered User and may not be transferred, assigned, or otherwise shared with any other individual.

Prohibition on Account Sharing

You agree not to share your login credentials, including your username and password, with any third party. Any unauthorized sharing of accounts may result in suspension or termination.

Responsibility for Login Credentials

You are the sole authorized user of your account. You are responsible for maintaining the confidentiality and security of your username, password, and any other authentication credentials. You accept full responsibility for all activities that occur under your account, whether authorized by you or not.

Security and Unauthorized Access

You agree to notify 7EDU IMPACT ACADEMY INC immediately upon becoming aware of any unauthorized access to or use of your account, password, or any other breach of security.

Account Suspension and Termination

7EDU IMPACT ACADEMY INC reserves the right, in its sole discretion, to suspend, restrict, disable, or terminate any account at any time, with or without notice, for violation of this TOS, suspected misuse of the Services, security concerns, provision of inaccurate information, unauthorized account sharing, or any conduct that may expose 7EDU to legal liability or operational harm.

Limitation of Liability for Account Misuse

7EDU IMPACT ACADEMY INC shall not be liable for any loss, damage, unauthorized transactions, data loss, academic consequences, or other harm arising from your failure to maintain the security of your account credentials or from unauthorized access to your account, except as required by applicable law.

Conduct

As a user or member, you acknowledge, understand and agree that all information, text, software, data, photographs, music, video, messages, tags or any other content, whether it is publicly or privately posted and/or transmitted, is the expressed sole responsibility of the individual from whom the content originated. You are solely responsible for any and all content posted, uploaded, emailed, transmitted or otherwise made available by way of the 7EDU Services.

You agree NOT to make use of 7EDU IMPACT ACADEMY INC's Services for the purpose of:

• Uploading or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy
• Causing harm to minors in any manner whatsoever
• Impersonating any individual or entity
• Uploading content that may infringe upon any patent, copyright, trademark, or proprietary rights
• Engaging in commercial activities and/or sales without prior written consent
• Uploading content you do not have the right to offer
• Offering any unsolicited advertising, “junk mail,” “spam,” or other solicitation
• Uploading any source that may contain software viruses or malicious code
• Disrupting the normal flow of communication or negatively affecting other users
• Violating any local, state, federal, national or international law
• Collecting or storing personal data relating to other members in connection with prohibited conduct

7EDU IMPACT ACADEMY INC reserves the right to pre-screen, refuse and/or delete any content currently available through our Services. We also reserve the right to access, preserve and/or disclose member account information and/or content if required by law or in good faith belief that such action is reasonably necessary for compliance with legal process, enforcement of the TOS, responding to rights violations, customer service requests, or protecting the safety of 7EDU, its visitors, users and members.

Integration of AI-Enabled Features

Certain features of the Services incorporate artificial intelligence, machine learning systems, automated decision-support tools, and algorithmic content generation (collectively, “AI Services”). These AI Services are integrated components of 7EDU's broader educational platform and are intended to supplement, not replace, traditional education, college counseling, academic advising, and instructional services.

AI-Generated Content Disclaimer

AI-generated responses, suggestions, explanations, essay feedback, recommendations, and other outputs (“AI Outputs”) are automatically generated based on patterns in data and user inputs. AI Outputs may be incomplete, inaccurate, outdated, misleading, or inappropriate. 7EDU makes no representations or warranties regarding the accuracy, reliability, completeness, or suitability of any AI Output.

No Professional, Legal, Medical, or Financial Advice

AI Outputs and platform content are provided solely for educational and informational purposes. The Services, including AI Services, do not constitute legal advice, medical advice, psychological advice, financial advice, or any other regulated professional service.

Human Review and Content Moderation

Interactions within the platform, including AI interactions, may be monitored, reviewed, recorded, stored, analyzed, or evaluated by authorized personnel for quality assurance, safety monitoring, regulatory compliance, training, research, or service improvement purposes. 7EDU reserves the right to modify, filter, revise, refuse, restrict, or remove any AI Output or user-submitted content at any time.

Monitoring and Data Use

By using the AI Services, you expressly consent to the collection, storage, analysis, and use of user inputs, submissions, academic materials, interaction logs, performance metrics, and related data for purposes including:

• Providing and improving the Services
• Training, refining, and enhancing AI models and automated systems
• Conducting research and analytics
• Safety monitoring and abuse prevention
• Developing new features, products, or services

No Guarantee of Academic or Admissions Outcomes

Use of AI Services does not guarantee academic improvement, grade enhancement, standardized test score increases, college admission, scholarship awards, or any specific educational outcome.

User Responsibility

The User assumes full responsibility for:

• Reviewing all AI Outputs prior to academic submission
• Ensuring compliance with school policies regarding academic integrity and AI usage
• Verifying factual information generated by AI systems
• Making final decisions regarding academic and admissions matters

Limitation of Liability Related to AI

To the fullest extent permitted by law, 7EDU IMPACT ACADEMY INC shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to AI Outputs, automated recommendations, system errors, interruptions, inaccuracies, or reliance on AI-generated content.

Data Collection

In connection with the provision of the Services, 7EDU IMPACT ACADEMY INC may collect, receive, generate, record, store, process, and analyze various categories of information, including but not limited to:

• Academic submissions, essays, drafts, assignments, application materials, and uploaded documents
• Chat logs and written communications within the platform
• AI interactions and prompts submitted to AI-enabled tools
• Usage behavior, activity logs, clickstream data, device information, and interaction patterns
• Performance metrics, progress tracking data, grades, assessments, and evaluation records
• Audio and video session recordings
• Recordings, transcripts, notes, and summaries of tutoring sessions, counseling meetings, advising calls, and other communications
• Communications between students, parents, and Company personnel
• Any other information voluntarily submitted or generated through use of the Services

Recording of Sessions and Communications

Users acknowledge and agree that tutoring sessions, college counseling meetings, consultations, essay meetings and other interactions with internal staff may be recorded, transcribed, monitored, and stored for quality assurance, training, safety, dispute resolution, compliance, research, and service improvement purposes.

License Grant and Company Rights

By using the Services and submitting or generating User Data, you grant 7EDU IMPACT ACADEMY INC a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, adapt, analyze, process, create derivative works from, and otherwise use such User Data for lawful business purposes.

De-Identification and Aggregation

7EDU may de-identify, anonymize, aggregate, and transform User Data so that it no longer reasonably identifies an individual. De-identified and aggregated data may be used, disclosed, published, or commercialized without limitation.

Data Retention

7EDU retains User Data for as long as necessary to provide the Services, fulfill the purposes described in this Agreement, comply with legal obligations, resolve disputes, enforce agreements, and improve current and future systems.

AI Model Training and System Improvement

Users expressly acknowledge that interactions with AI-enabled features, including prompts, submissions, corrections, and feedback, may be used to train, retrain, fine-tune, validate, and improve existing and future artificial intelligence systems operated by or on behalf of 7EDU, except where prohibited by applicable law.

User Consent

By accessing or using the Services, creating an account, participating in tutoring or counseling sessions, uploading materials, or interacting with AI features, you acknowledge and consent to the collection, recording, storage, processing, retention, and use of User Data as described in this Agreement and the Company's Privacy Policy.

Program Commitment and Refund Policy

Certain Services offered by 7EDU IMPACT ACADEMY INC are provided pursuant to separate written agreements. All payment amounts, billing cycles, program duration, and any specific refund terms are governed by the applicable Service Agreement.

Unless expressly stated otherwise in a signed Service Agreement, Services are sold as a fixed-term program commitment. Any installment or quarterly billing schedule is provided solely as a payment accommodation and does not create a month-to-month, subscription, or pay-as-you-go arrangement.

Upon execution of the applicable Service Agreement and commencement of Services, fees paid are non-refundable for Services already commenced. If a user elects to terminate participation prior to completion of the program term, 7EDU may waive future unpaid invoices; however, no refunds shall be issued for amounts already paid, unless otherwise expressly stated in the applicable Service Agreement.

Data Retention and No Refund of Data Upon Termination

Termination of Services does not entitle the user to any refund of fees already paid, nor does it obligate 7EDU to return, export, transfer, or delete User Data, academic materials, session recordings, AI interaction logs, progress records, or other content stored within the platform.

Content Placed or Made Available for Company Services

The content submitted or made available for inclusion on the publicly accessible areas of 7EDU IMPACT ACADEMY INC's sites is licensed to permit use, distribution, reproduction, modification, adaptation, public performance and/or public display for the sole purpose of providing and promoting the specific area to which this content was placed. This license shall be available during and after you are a member of 7EDU's sites.

Contributions to Company

When you submit ideas, documents, suggestions and/or proposals (“Contributions”) to our site, you acknowledge and agree that:

• Your contributions do not contain any type of confidential or proprietary information
• 7EDU shall not be liable to ensure or maintain confidentiality related to any Contributions
• 7EDU shall be entitled to make use of and/or disclose any such Contributions
• The contributor's Contributions shall automatically become the sole property of 7EDU
• 7EDU is under no obligation to compensate or provide reimbursement

Commercial Reuse of Services

You agree not to replicate, duplicate, copy, trade, sell, resell, license, sublicense, distribute, lease, rent, or otherwise exploit for any commercial purpose any portion of the 7EDU IMPACT ACADEMY INC websites, services, curriculum, proprietary content, learning materials, session recordings, platform features, user access credentials, or any associated tools or technologies. Unauthorized commercial use or reproduction may result in account suspension, legal action, and/or pursuit of damages to the fullest extent permitted by law.

Indemnity

All users and/or members agree to insure and hold 7EDU IMPACT ACADEMY INC, our subsidiaries, affiliates, agents, employees, officers, partners and/or licensors blameless or not liable for any claim or demand, which may include reasonable attorney fees made by any third party which may arise from any content a member or user may submit, post, modify, transmit or make available through our Services, the use of 7EDU Services or your connection with these Services, your violations of the Terms of Service and/or your violation of any rights of another person.

Modifications

7EDU IMPACT ACADEMY INC shall reserve the right at any time to modify, alter and or discontinue, whether temporarily or permanently, our service, or any part thereof, with or without prior notice. In addition, we shall not be held liable to you or to any third party for any such alteration, modification, suspension of our Services.

The termination of your account shall include any and/or all of the following:

• The removal of any access to all or part of the Services
• The deletion of your password and any related information, files, and content associated with your account
• The barring of any further use of all or part of our Services

Links and Third Parties

Either 7EDU IMPACT ACADEMY INC or any third parties may provide links to other websites and/or resources. You acknowledge and agree that we are not responsible for the availability of any such external sites or resources, and we do not endorse nor are we responsible or liable for any content, products, advertising or any other materials on or available from such third party sites or resources.

Proprietary Rights

You acknowledge and agree that 7EDU IMPACT ACADEMY INC's Services and any essential software used in connection with our Services shall contain proprietary and confidential material that is protected by applicable intellectual property rights and other laws. You agree not to alter, modify, lease, rent, loan, sell, distribute, transmit, broadcast, publicly perform and/or create any works based on 7EDU's Services in whole or in part.

7EDU has granted you personal, non-transferable and non-exclusive rights to make use of the software on a single computer. You shall not allow any third party to duplicate, alter, modify, create or plagiarize work from, reverse engineer, reverse assemble or otherwise make an attempt to locate or discern any source code.

Arbitration and Class Action Waiver

To the fullest extent permitted by law, you and 7EDU IMPACT ACADEMY INC agree that any dispute, claim, or controversy arising out of or relating to this Terms of Service Agreement or the Services shall be resolved exclusively through final and binding arbitration, rather than in court.

Before initiating arbitration, the parties agree to attempt to resolve the dispute informally. You must first send written notice describing the claim and requested relief to info@7edu.org. The parties agree to attempt good-faith resolution for at least thirty (30) days before filing for arbitration.

If unresolved, arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted before a single neutral arbitrator in Santa Clara County, California, unless otherwise agreed.

You and 7EDU waive the right to a jury trial and agree that all claims shall be brought in an individual capacity only, and not as a plaintiff or class member in any class, collective, representative, or private attorney general action.

You may opt out of this arbitration provision by providing written notice within thirty (30) days of first accepting this Agreement. This arbitration provision survives termination of the Services.

Force Majeure

7EDU IMPACT ACADEMY INC shall not be liable for any delay, interruption, suspension, or failure to perform resulting from acts beyond its reasonable control, including but not limited to natural disasters, governmental actions, public health emergencies, labor disputes, power failures, internet outages, hosting provider failures, third-party platform disruptions, or other force majeure events.

Warranty Disclaimers

Limitation of Liability

In the event you have a dispute, you agree to release 7EDU IMPACT ACADEMY INC (and its officers, directors, employees, agents, parent subsidiaries, affiliates, co-branders, partners and any other third parties) from claims, demands and damages of every kind and nature, known and unknown, suspected or unsuspected, disclosed and undisclosed, arising out of or in any way connected to such dispute.

Exclusion and Limitations

There are some jurisdictions which do not allow the exclusion of certain warranties or the limitation of exclusion of liability for incidental or consequential damages. Therefore, some of the above limitations of the Warranty Disclaimers and Limitation of Liability sections may not apply to you.

General Provisions

Third Party Beneficiaries

Unless otherwise expressly provided in this TOS, there shall be no third-party beneficiaries to this agreement.

Notices

7EDU may furnish you with notices, including those with regards to any changes to the TOS, through email, regular mail, text messaging, postings on our website, or other reasonable means. Your acceptance of this TOS constitutes your agreement that you are deemed to have received any and all notices that would have been delivered had you accessed our Services in an authorized manner.

Trademark Information

All trademarks, copyrights, trade names, service marks, logos, brand features, and product or service names of 7EDU IMPACT ACADEMY INC are and shall remain the exclusive property of the Company. You agree not to display or use any such marks without prior written consent.

Entire Agreement

This Terms of Service Agreement constitutes the entire agreement between you and 7EDU IMPACT ACADEMY INC and governs your use of the Services, superseding any prior versions of this Agreement.

Choice of Law and Forum

This Agreement shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Subject to the Arbitration provision above, any claims or disputes shall be brought in the state or federal courts located in Santa Clara County, California.

Waiver and Severability

If 7EDU fails to exercise or enforce any right or provision, such failure shall not constitute a waiver. If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Statute of Limitations

To the fullest extent permitted by applicable law, any claim, dispute, or cause of action arising out of or relating to the Services or this Agreement must be filed within one (1) year after such claim or cause of action arises.

Changes to This Agreement

7EDU IMPACT ACADEMY INC may update this Agreement from time to time. Any changes will be posted on the Site. Your continued use of the Services after such changes constitutes your acceptance of the revised Agreement.
